Concerned Citizens of Milford Township

Meeting Agenda -- Monday, August 25, 2003

Location:  Molasses Park Pavilion, Across from Township Building

 

1)     Call to order

2)     Reports (each will be heard; the assembled body will vote whether to accept):

·        The written record of our last meeting (Max Geisler)

·        Update/Status on Township (Jack Sutton)

·        The overall progress of our cause -- contact with attorneys, NRC status, etc. (Phil Stein, Michael Thomas)

·        Finances and communications (Skip Moyer)

·        Other officers/committee chairs/ individuals as recognized
(3-minute limit for each)

3)     Structure and operation of the organization
The following governance structure has been recommended to this group by other similar community action groups:

(a)           It has been recommended to us that this organization will be governed by a board of directors

(b)           The community at large shall vote for directors

(c)           There shall be 7 directors

(d)           The directors shall appoint (and remove if necessary) officers and committee chairs.

(e)           Terms of service before new board of director elections shall be one year. In the event that a director resigns, a new election shall take place only for that director’s seat.

(f)            This organization shall be incorporated, it shall be incorporated forthwith, with bylaws presented to the community at large with 3 weeks of the formation.

(g)           The directors shall determine the corporate name and be responsible for all corporate filings and status (i.e., charitable organization)

(h)           Directors, officers and any committee chairs shall receive no compensation for work on this effort.  Any breach of this covenant will result in immediate termination and legal action.

(i)             This organization shall support no other corporation, political party, or individual political candidate. The initial purpose of the organization shall be to stop the installation of a nuclear irradiation facility in Milford Township. Upon the successful completion of the initial purpose of the organization, the board shall determine the future purpose and status of the organization—whether to dissolve the organization and return any excess contributions to contributors, or to maintain the organization for future community protection efforts.

4)     Nomination and selection of Directors from the floor.
Each nominee's name to be publicly recorded so all may view it.

·        Each nomination must be seconded

·        Each individual to have two minutes to summarize his/her qualifications and philosophy

·        Paper ballots to be distributed (permitting 5 votes on each)

·        Top seven vote recipients shall be appointed to Board positions
